12.Neither Party may use the name or logo of the other, or any abbreviation or adaptation thereof, in any advertising, trade display, or published statement or press release, or for any other commercial purpose, without prior written consent.

Any dispute, controversy, or claim arising out or relating to this Agreement, or the violation, normal and early termination or invalidity thereof, shall be settled by negotiation or conciliation.

Should these negotiations or conciliations not lead to any acceptable to the Parties concerned within three (3) months, these dispute, controversy, or claim shall be settled by arbitration in the Arbitration Institute of the Stockholm Chamber of Commerce in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce. In case of arbitration, the laws of the Federal Republic of Germany shall apply.

協議書 Protocol
甲方代表: The representative of Party A

經甲乙雙方友好協商，一致同意達成以下協議:
Through the friendly negotiations of both parties, the following agreements are reached:

一：甲方同意乙方的付款要求：甲方同意乙方下單後不付定金，但乙方必須在見到提單COPY件後付清100%的全額。
1. Party A agreed to the request of the Party B for payment: Party A agreed that Party B does not pay the deposit after placing an order, but Party B must be paid in 100% once the COPY of bill of lading reached.
二、 甲方要求乙方承諾: 乙方不得取消已確認的訂單。一旦乙方要求取消訂單，即甲方的所有損失由乙方負責，乙方至少賠理甲方總貨款的50%.
2. Party A requires Party B to promise: Party B shall not cancel the commitment once the orders confirmed. Once Party B canceled the order, Party B is responsible for all losses of Party A, Party B should compensate at least 50% of the total amount of payment for goods of Party A.

以上協議簽訂後即生效，希望甲乙雙方共同遵守，否則視為違約，違約金為人民幣貳拾萬元。協議一式二份，甲乙雙方各執一份。
